　　2016年中国医疗行业并购数量超过400起，金额超过1800亿，其中海外并购超过200亿，尽管并购数量、金额、质量均创新高，但中国健康服务业的春天才刚刚开始。

　　从医药、医疗器械，到医疗服务、生物技术，再到精准医疗、医疗机器人。“健康中国”战略摆开了一场十万亿级别的产业盛宴，各路资本垂涎欲滴。

　　数据显示，2016年中国医疗行业并购的数量超过400起，金额超过1800亿，其中海外并购超过200亿，无论并购数量、金额还是质量均创出新高。“中国健康服务产业的春天才刚刚开始。”有知名投资人豪言：“2017年该产业一定会出现超过10亿美元量级的并购案。”

　　进入2017年，如何在这场十万亿级别的盛宴中占据一席之地？日前，在第六届中国医疗健康产业投资与并购CEO峰会上，数十位中外业界大咖云集，展开了一轮轮头脑风暴，为2017年行业投资并购出谋划策。

　　医院仍是资本主攻方向

　　作为健康产业亟待开发的一处“金矿”，医院成为资本竞逐的高地，各路资本看中的是公立医院改制的政策红利。

　　在业界看来，2017年，医疗产业投资的“风口”将继续停留在医疗服务领域，其中医院尤为各路资本所看好。

　　统计数据显示，2016年，A股上市公司并购医药类资产案例高达235起，涉及的并购领域主要包括中西药、医疗保健用品、设备及技术等。其中，作为医疗服务“主战场”的医院成为资本竞逐的高地。2016年，共有9家上市公司并购医院资产。进入2017年，上市公司“从医”热情持续高涨，截至3月24日，已先后有益佰制药、宜华健康等6家公司并购医院资产。

　　以宜华健康为例，今年3月，其子公司达孜赛勒康以1.728亿元收购余干仁和医院有限公司60%股权，成为宜华健康在江西省布局的第三家医院。自2014年由地产转型“从医”之后，宜华健康积极打造以医疗机构为核心的医疗健康产业平台，目前业务涉足医院后勤服务、医院管理、癌症治疗及养老等。记者采访宜化集团董事会主席刘绍喜了解到，目前集团已将“高端医疗”作为未来重点布局的领域之一，将打造一个省内规模最大、国内最先进的国际级医疗及康复养老总部企业，服务范围将立足粤东、辐射全国、面向华侨、覆盖东南亚。

　　据记者不完全统计，目前A股布局民营医院的上市公司已有近40家。其中，爱尔眼科、通策医疗、恒康医疗等主要专注于眼科、齿科、肿瘤等专科连锁；康美药业、马应龙等借助在中医药领域的优势，积极投身中医院及中医门诊建设；复星医药、华润医疗、中信医疗、北大医疗等则凭借多年的积累，已成为国内四大医疗集团。

　　不少上市公司高管向记者坦言，积极“从医”是因为看好我国公立医院改制的政策红利。今年1月，国务院发布《“十三五”卫生与健康规划》再次强调，大力发展社会办医，放宽社会力量举办医疗机构的服务领域要求，支持社会力量以多种形式参与健康服务。另有数据显示，2015年，中国非公立医院达到14518家，已经超过了公立医院的13067家。但是，非公立医院的盈利规模只有公立医院的10%左右，仅为2000多亿元，远远低于西方发达国家及日本的水平。山蓝资本创始及执行合伙人刘道志直言：“发展和投资医院管理集团已经成为中国的一项明确和长期的医疗发展计划，也是社会资本未来几年的主攻方向。”

　　医院资产作为健康产业亟待开发的一处“金矿”，如何科学理性地对之投资并购，受到市场广泛关注。某券商医疗健康行业投资总监告诉记者：“眼科、齿科、骨科等专科医院运营相对稳定且盈利能力较强，目前普遍受到资本青睐。综合性医院并购整合则需要雄厚的资金、成熟的管理能力等多方面支持，否则医院可能面临运营及盈利难度较大的风险。”在其看来，“从医”热还需冷思考，企业盲目并购导致医院无法维系，最终仍要面临新一轮的产业兼并重组，而综合实力雄厚的华润医疗、中信医疗、北大医疗及复星医药等四大医疗集团有望胜出。

　　值得关注的是，从目前资本“从医”的案例来看，投资高端医院似乎受到普遍青睐。就医院定位而言，弘晖资本执行董事姜燕烨从投资人的角度指出，有两类医院诊所适合走高端路线：一是妇产科、儿科等侧重服务品质的领域；二是口腔、医美等偏消费类的小而美的市场。

　　不过，首都医科大学三博脑科医院院长张阳则从医院经营实践总结称，高端技术才是服务的核心，医院的定位关键靠技术能力决定。“三博的经营定位就是技术、品质、服务，技术为先，品质是价格和优质医疗的性价比，服务是在医疗服务过程中把对人性的尊重和关怀植入进去。”张阳直言，如果民营医院的医疗技术能力不行，大多数老百姓会用脚投票，大量流向公立的三甲医院。尽管对那里的服务、环境不满意，但是老百姓最终去是要解决问题的。

　　创新药迎来黄金时代

　　创新药正迎来黄金时代。如何把握创新药的商机？不少药企的共识是，在加强自身研发实力的同时，还需借助资本的力量。

　　如果说医院还是健康产业亟待开发的一处“金矿”，那么创新药则正迎来黄金时代。2015年以来，国家关于严格新药审批、开展仿制药一致性评价等改革措施在保证药品质量的同时，实质则是鼓励药企积极投身新药研发，全面提升我国药品质量。今年3月17日，国家药监总局发布《关于调整进口药品注册管理有关事项的决定（征求意见稿）》，在业界看来，将为我国创新药真正接轨国际、实现中国新药同步全球临床上市带来积极影响。

　　药明康德首席财务官兼投资官胡正国称：“这是一个很好的先兆。”据了解，全球每年的新药产出量很低，最好的年份是2015年，有45个新药。2016年，美国FDA只批准了22个新药，是过去几年新药批准数量较低的一年。回看中国，过去十年欧美上市的新药中，只有三分之一在中国上市，时间上延后6至10年不等，这在一定程度上阻碍了我国创新药的发展及临床应用。胡正国表示，此次国家加速进口药审批，允许进口药在中国及海外同步申报临床，将有望缩短中国与欧美等国家在创新药研发应用上的差距。

　　就A股市场来看，创新研发实力较强的贝达药业、恒瑞医药、信立泰、天士力等医药生产企业，以及在创新药研发中充当重要角色的医药外包服务公司如泰格医药、博腾股份、博济医药等，都将在创新药的系列政策红利中充分受益。其中，贝达药业自主研发的国家1类新药埃克替尼，是我国第一个拥有自主知识产权的小分子靶向抗癌药，2015年在国内治疗肺癌的小分子靶向抗癌药物市场占有率已达28.16%，且仍有较大的市场空间。据悉，截至去年6月底，贝达药业共有20个在研项目，其中涉及6个一类及二类新药在研项目。

　　作为国内创新药企业开拓药业的创始人及CEO，童友之认为，中国创新药实现弯道超车的关键在于“专注本土创新研发”。童友之同时道出了部分新药企业的一个通病：“以大分子药物为例，很多是在别人证明靶向肯定能成药的情况下，一股脑扑上去做。”而事实上，就癌症而言，中国与欧美等国的癌谱存在差异化，我国在胃癌、肝癌及食管癌的发病率远远高于西方国家。“这就给了中国新药企业一个警示，我们不能寄希望于国外的跨国企业帮我们解决重大疾病问题，我们要靠自己的力量来解决这些癌谱上的差异，致力于本土创新研发出更好的产品。”

　　本草资本合伙人刘千叶对此表示认可：“在国内创新药环境向好的情况下，今后会加大对创新药项目的投资，新药可能占到基金的50%以上。不过，新药马太效应很强，就同一靶点同一代的药品而言，如果在三五名开外，我们的兴趣就不大了。”在其看来，目前国内药企多数还处于粗放的新药研发。投资新药，在关注药品成药性安全有效的同时，还要看其商业价值——是不是有临床需求？最终能不能卖得出去？未满足的临床需求才是最大的商机所在。

　　如何把握创新药的商机？不少药企的共识是，在加强自身研发实力的同时，还需借助资本的力量。童友之建议：“根据国内临床需求，在国内研发及新药企业比较薄弱的领域，可利用资本的力量直接收购国外的一些比较前期的项目，对这些项目展开临床试验。”信立泰总经理助理韩英杰也表示，就新药及仿制药的资源分布来看，公司目前越来越倾向于投入创新药，公司将积极筛选国外的新技术、中国的好项目，以支持信立泰做强创新药板块。

　　“新医疗”释放出新商机

　　以人工智能和机器人医疗应用为主要内容的技术研究、产品开发及并购投资将迎来蓬勃发展，以技术创新和模式创新为特色的“新医疗”正逐步释放巨大商机。

　　今年政府工作报告首次写入的“人工智能”，为医药界送来了一股投资清流。在第六届中国医疗健康产业投资与并购CEO峰会上，有不少企业家和投资人认为，以人工智能和机器人医疗应用为主要内容的技术研究、产品开发及并购投资将迎来蓬勃发展，以技术创新和模式创新为特色的“新医疗”正逐步释放巨大的商机。

　　数据显示，人工智能医疗应用未来五年将迎来爆发式增长，应用领域将涉及医学影像、辅助诊疗、药物开发和健康管理等。此外，医疗机器人行业将在未来五年开发出15到20个专门性的医疗机器人医疗系统，满足一些复杂性手术，包括心血管介入、神经外科、血管外科、内镜下手术、肿瘤手术等。山蓝资本刘道志表示，随着未来几年各类专业型的手术机器人问世，全球医疗机器人产业规模将从2015年的74.7亿美元增长到2020年的114亿美元，值得产业资本重点关注。

　　火山石资本创始合伙人章苏阳同样看好人工智能所释放的“新医疗”商机。在其看来，2016年医疗投资仍然空前火热，医疗板块投资回报也非常可观。2017年，医疗投资领域可能会出现更多新的技术，如人工智能与医疗的结合等。“目前医疗无论发展速度还是技术融合速度都非常快，传统产业安全垫较高，新兴产业则具备快速成为独角兽的潜力。2017年中国的医疗产业一定会出现超过10亿美元量级的并购案。”

　　回看2016年医疗并购案例，复星医药、博实股份等已率先布局医疗机器人市场。去年12月，复星医药与美国直观医疗器械公司启动战略合作，双方将共同注资1亿美元在上海成立合资企业，主要研发、生产和销售针对肺癌早期诊断及治疗的基于机器人辅助导管技术的创新产品。博实股份则与苏州高新区管委会合作，助力苏州高新区医用机器人及智能装备创新产业发展。此外，楚天科技则通过定增募资投资“年产300台套高端生物医药智能装备及医疗机器人建设”，提升制药生产的智能化水平。

　　值得关注的是，以体外诊断、基因检测为主的生物技术领域正成为资本青睐的“新医疗”宠儿。记者统计数据发现，2016年A股上市公司并购生物技术的案例达56起，约占医疗产业并购总数的24%，较2015年增长超过10%。目前A股市场除正在IPO排队的华大基因之外，已有达安基因、迪安诊断、科华生物等数十家上市公司搭上基因测序的“早班车”，欲抢食千亿级别的精准医疗市场。

　　医药界投资人普遍认为，随着精准医疗时代的到来，生物技术、生物大数据是不容错过的投资方向，其中基因测序、基因编辑以及细胞免疫治疗等已逐渐成为市场追逐的热点。业内人士指出，基因测序在生育健康、肿瘤诊疗、新药研发和医学基础研究应用较多，无创产检（NIPT）是目前产业化程度较高的领域，肿瘤领域应用市场空间巨大。刘道志表示：“细胞免疫治疗这项基于基因工程技术的新型疗法，正成为治疗癌症的新支柱，为从事产品开发和推广的公司创造了极高的市场潜力，也吸引了海量的投资。在过去的一两年，不论美国还是中国，在这个领域的投资都非常巨大。”

　　除以技术创新驱动下的“新医疗”机会之外，商业模式创新所激发的“新医疗”机会也在近两年得到政策和资本的双重支持，互联网医疗既是其中代表。较之移动医疗、互联网医疗在2014年、2015年的火爆态势，2016年该产业投融资已渐趋理性。分享投资管理合伙人黄反之认为，互联网医疗的投资机会仍然存在，但需要反思投资方式，过去两年市场主要关注C端的机会，而未来面向B端的服务或更具变现的价值。

　　刘道志则直言，互联网医疗实际上是一种分享经济在医疗中的应用。在其看来，中国的医疗分享市场潜力非常巨大，预计到2020年，中国的医疗分享市场规模会达到800亿，主要的发展趋势在于线下、线上融合发展，还有新兴技术和医疗分享深度互动融合。
